It's all in the documentation-area for the 4255:

http://www.cisco.com/c/en/us/support/security/ips-4255-sensor/model.html#~tab-documents

There you also find the upgrade-guides:

http://www.cisco.com/c/en/us/support/security/ips-4255-sensor/model.html#InstallandUpgradeGuides

I always prefer to upgrade from the CLI as there you see more what then system is doing.

Both upgrades need a reboot

Both upgrades need a reboot of the appliance which means that you have to calculate with a downtime of a couple of minutes (which also depends on the complexity of your config).

For upgrades like these I typically advertise a downtime of 30 Minutes, knowing that it's typically done in less then 10 Minutes (including basic tests).

These appliances run without any HA? Then you probably have a maintenance window that is big enough ...

And I would upgrade the ASA directly to the newest 9.1(6) release and not tho the very old 9.1(2). The actual software for the IPS is 7.1(10)E4.
