To answer my own question, according to Cisco, no additional licensing is required to utilize the 40 GBit capabilities of the switch. You only need software if you are adding switches and need remote configuration and management. If anyone has additional information to add please do. This seems to be a common question and though it is simple, it's difficult to get an answer from Cisco unless you have the switch on a maintenance plan or under warranty.
