OK, kind of a stupid question, but I have not done this before. We have a 4451 that is still running 15.3 IOS. We are going to upgrade to 16.2, but confused by looking at the documentation on doing this.
Do we have to download the .pkg file and upgrade the ROMMON and then run the .bin file for the IOS upgrade or can we just run the IOS upgrade?

Stick with the gold star release 3.13.5S, unless you are using hardware that demands a newer version.

16.2 is bleeding edge new, and has features missing. It is more intended for people who want to run APIC-EM.
Don't run 16.x code in a production environment unless you really really really need to run APIC-EM.
