Unity upgrade to 4.0.4 offline on another server

I have a Unity 2.4.6.161 on a MCS 7835 with disk mirroring and I want to upgrade this to version 4.0.4 offline. I will take one of the disk and upgrade Unity to 4.0.4 on another server. Will Unity complaints if the the dongle is not available and the MAC address is different?

You will have to order an upgrade kit first. Unity 4.0(x) uses a license file (see http://www.cisco.com/en/US/products/sw/voicesw/ps2237/products_installation_guide_chapter09186a0080118cc1.html#1591287)

make sure to order a dongle with same content as your current dongle. Based on our experience, the upgrade process will some how damage the old dongle and make u not able to fail back even u have a good old unity image.
