Good Day Guys,
About three years ago, a company that i work for purchesed 3 Cisco IPS; 2 - 4240 and 1 - 4260. The cost to renew the smartnet agreement for the 4260 is just too exorbant at this moment. Is there any way for us to run this unit as a 4240, while not utilizing all of the features of the 4260.

Unfortunately, no.
The units you bought are hardware tied to the license cost. Cisco does not support license based on bandwidth on a single sensor.

One additional question. Is there anyway to keep current with the intrusion prevention database without purchasing the SMARTnet Agreement?

Yes. Your 4260 will continue to function once your contract expires. You can still apply software updates (that also contains the latest signature pack as of their relase date). The only thing you will not be able to do is update the signature set (indepentantly of an OS update). Without a contract you also will not be able to RMA a broken unit.
If you want to back up your current configuration, you can capture the "show configuration" output. Similar to what you would do on a router or switch.
