Want to move 3495s running ISE 2.2 to a virtual environment running 2.4. Can we re-host the physical to virtual and a get a medium VM? What are the licensing implications if any? Does the medium VM need to be purchased?

Hi,
If you are moving from 34xx to VM, you need to purchase the VM license.
The license for services (base, plus, apex) can be reused if it is valid.
When you do a restore, the base, plus, apex licenses would be restored as well.

and restore in VM. Same for MnT logs.
License wise, you need VM License to use the VM option. Feature license
such as Plus and Apex can be moved.
I want to ask you to contact your AM but found that your work at Cisco. So
consult your team for more details about licensing and rehosting :)

Any time you are moving or upgrading your ISE deployment try to move to Smart Licensing if the customer has a Smart Account (they all should). You can work with licensing@cisco.com to convert traditional licenses to smart licenses.
