Not really sure what the problem is, but guessing it could be bad firmware. It copies from tftp server just fine in boot helper mode, then asks for activation key and boots into the IOS the first time just fine, but on power cycle or reload, it gives the following message.
imgsum_config: sumval(0xb6d4) md5(0x95937073 0x75b817db 0x54d7811a 0xba7d0214)
imgsum_verify: chksum(0x 0) md5(0x1878168f 0x98afb465 0x40d39084 0x139f98f4)
Panic: kernel - The checksum verification for this image failed.

After a little more research, found the answer to my own question. Using erasedisk.bin fixed the problem. Apparently something got corrupted during the IOS update.

I got the same problem after not using the PIX for a while and turning it back on. On my side not even the erasedisk.bin can help me. After adding a new IOS with Activiation keys the PIX is again reloading and reloading and reloading...
