we are upgrading switch c-2960S-24PS-L, Memory of the switch is 57931.776 kb total (44360.704 kb free). i am upload new IOS, its size is 43231kb. so when i upload the IOS in switch. its not uploaded we got an error.
sw#copy tftp: flash:
address..
source file..
destination file...
accessing tftp..
loading !!!!!!!0!!!!!!!!!!!!!!!!!!!!!!!!!!!!!!00000000!!!!!!!!!!!!!!!!!!
and at the end we got some error on tftp

hey cehill,
i got one more issue.
i.e.,
FW# sh cpu
CPU utilization for 5 seconds = 78%; 1 minute: 86%; 5 minutes: 87%
could you please help me to resolve this issue...

show processes cpu-usage sorted non-zero

ASA is probably being overwhelmed by high volume of traffic.
If you have monitoring software that monitors network, you can look for the top talker and that may be your culprit.
Do a show interface and look for errors.
Do a show traffic and verify if any interfaces have a high volume of traffic flowing through it.
You can look in the syslog or syslog collector, if you are using one, and see whats going on.
According to a Cisco doc, a common problem is due to a traffic loop when vpn clients disconnect. Here is a link that gives solutions to the problem.
