I have the file on my desktop not a ftp server or http web server. I can't log via asdm but I can login with "session 1". I tried "
copy license-key C:\Users\user1.TOM.001\Desktop\JAF1544AEDS_20130339082809607.lic" It did not work?

Hello Eric,
I am not sure if this is going to work when you login to the IPS via "session 1", the way the IPS is able to take the file from your desktop is via the management IP, when you are on the IPS via session 1 how the IPS is going to contact your PC and take the file if you are not connected via the management IP.
We might want to enable telnet and try it again. I strongly suggested you to use a FTP server, this constantly gives errors and it’s very hard to upload files through the CLI.
Also, try my other suggestion about opening IDM directly instead of trying through ASDM. Open a browser and type the IPS module IP address.

Eric,
To install the license using the IPS module Command Line Interface(CLI), you have the following options:
1. You need to have SSH, FTP, HTTP or HTTPS servers running so you can transfer the license:
a. SSH: copy scp://
b. FTP: copyftp://
c. HTTP: copyhttp://
d. HTTPS: copyhttps://
You can access the GUI interface of the module by opening a browser:
Click on "Run IDM".

This is what I already know.
Installing Your Cisco Signature Subscription Service License File
To install the license using the IPS sensor Command Line Interface (CLI), follow these steps:
1. Save the license file to a system that has a web server, FTP server, or SCP server.
2. Log in to the sensor as a user with Administrator privileges.
3. Use one of the following copy commands to transfer the license file to the sensor:
a. SSH: copy scp:// license-key
b. FTP: copy ftp:// license-key
c. HTTP: copy http:// license-key
d. HTTPS: copy https:// license-key
4. Type the show version command to verify the sensor is licensed.
To install the license using IPS Device Manager (IDM), follow these steps:
1. Save the license file to a hard-disk drive or a network drive that is accessible by the client running IDM.
2. Log in to the IDM.
3. Click Configuration > Licensing.
4. Under Update License, select Update From: License File.
5. In the Local File Path field, specify the path to the license file.
6. Click Update License.
