Is this router located remotely or locally?

locally.
I put on my pc on the Cisco2801.
Connection is very simple like following.
Cisco2801 and PC (windowsXP) are connecting via Ethernet cable.
10.10.10.1 (2801 Fe0/0) ---------10.10.10.2 (PC )
I turn off XP firewall, and I can ping between 10.10.10.1 and 10.10.10.2. Link is up with 100Mbps.
please let me know why time out.

I am using TFTPD for windowsNT/2000/XP2003 version1.01.
It is similar TFTPD32 program.

I used tftpd32 and it worked well. it completed upload.
So far I had used TFTPD for windowsNT/2000/XP2003 version1.01.and no problem.
I am not sure this is compatibility problem between ios and tftpd softwear problem.

TFTPD32 is recommended by Cisco because it has a good reputation of handling large files.
