We are having Cisco 12012 Router with ios 12.0(28)S5
POS line card in slot1 is not showing active.

The card is in IOS DNLD state meaning at this point it has received the fabric downloader from the MBus and is trying to download the image across the fabric. Have you tried this card in another slot on the chassis?
This issue could be due to a bad or poorly seated linecard or possibly a CSC/SFC. I would try that linecard in another slot on the chassis first. If it doesn't boot there and another linecard does, then it is likely an issue with the linecard.
Do you have redundant fabric? If it does boot in another slot and you have redundant fabric, the next step would be to remove one fabric card at a time to see if you can find the bad fabric or clock scheduler card.
