What are the prerequisites before doing this? I have to upgrade a router this Wednesday evening if there is an opportunity to move it to a code that is more current that the one the client is currently running which is 12.4(25b). I see on the Cisco Support site that after this code, everything moves to 15.
If someone could publish what I would need to do to the router in order to move it to 15 it would be appreciated.

The steps to prepare are ones you usually would take and include:
- verify that the router has at least the minimum amount of memory and flash. (looks like minimums are 512 MB memory and 128 MB flash)
- check release notes for anything significant about the release, focusing on unresolved issues. Also look for references about changes in syntax of commands.
- select the version and feature set that you want to install.
- download the code from Cisco.
- stage the code onto the router and modify any needed boot parameters.

To move to IOS 15, you need to have at least 256MB of memory and 256MB of flash.
IOS 15 is all licensed based with a universal image. So, if you need any additional feature the does not come with
the base image, you need to buy a license for it.

I don't believe the 28xx/38xx uses the license key, so you don't need to purchase a license. Just download the image with the same feature set you currently have just like you do with the 12.4 code releases. I've upgrade a few dozen of my 2821 and 3845's and they don't use the license. If you are upgrading your feature set (e.g. IP SERVICES to ADVANCED ENTERPRISE SERVICES), then you are "required" to purchase an upgrade license. However, all you get is a piece of paper you stick in a drawer.
When you have a 28xx or 38xx on version 15, you'll see somem reference to the license, but it will remain blank. The box will operate with the feature set you load on it:

where there any syntax diffrences from 12.4 to 15 code to be aware of, I can not see much in the release notes for 15.1M on the IOS software page.

I am sure that there are at least a few things in syntax that are different in 15 code. But there is not anything that occurs to me now that is particularly significant in terms of changed syntax.

There are some/few minor syntax changes, and when upgrading, 15 will normally accept 12.4 syntax and automatically revise it. The only issue you might bump into, if for any reason you needed to revert to 12.4, 12.4 wouldn't understand revised 15 syntax. (So, save a 12.4 config copy.)

The licensing in 15 is a unique aspect that I did not mention. So thanks for filling that in.
I checked the software download page for 15.1(2)GC and it clearly identifies the memory and flash requirements for the 3825 as 512 MB memory and 128 MB flash.
