Recently upgraded from ICS System release 2.1.0 to release 2.5.0
Everything upgraded except for Call Manager. It stayed at version 3.1.2c
Any ideas why? How can I upgrade the CM on the ICS without negatively effecting system performance & reliability?

That's correct. The System software is independent of the Cisco CallManager version. If you would like to upgrade the CM software, you will want to read through the release notes:

Other than that, it's just a regular callmanager upgrade.

Thanks - so with the ICS, you now have to upgrade CM separately...? That makes sense now.
