I made C3745/3640 with HSRP,connected with BAY 350-12T,But two CISCOs ethernet0/0 & Fastethernet 0/0 are active.why

Make sure the switch is properly configured for speed and duplex settings. And also check whether Mac-address to Port mapping is diaplayed for this HSRP Mac-address.

Short answer:
If both are active they don't see each other.
HSRP uses the multicast address 224.0.0.2
If IGMP snooping is activated on the switches, you might have a problem with HSRP.

Hewlett-Packard (HP) and Nortel Networks (formerly Bay) switches operate in this manner when IGMP snooping is enabled. Both switches have an option for defining filters that enable them to always forward multicast packets to all ports for specific groups. These filters must be enabled to assure that the routers will continue functioning. Other switches always forward all multicast packets for these groups to all ports without requiring filters be enabled.
