Is it possible that the NIC has an administratively defined address as well as its BIA?
Is is possible that the device has more than one network card (e.g. LAN and wireless), and that bridging is activated between them?
BTW, here is a useful tool for looking up which manufacturer owns a MAC address:

The first MAC address belongs to Packeteer, inc while the second one belongs to Huawei Technologies.
So it appears you have a Packeteer device inbetween. Can you trace the cable physically to check?

My Packetshaper is doing the shaping on the bandwidth. but not sure, y the switch has two mac addr on the same interface. therefore i asked this question. must i reboot the packetshaper inlcuding the switch, will that disappear or it will stay there together with the packetshaper?

Had u try to reboot both the PC & switch?
Try that,& see if 1 the mac add. will disapper.
if not, check the bia on the interface
