I would like to know is their any way to upgrade 3550 SMI TO EMI and 3550 SMI to EMI.
IF YES, IS IT LEGAL? IS THEIR ANY UPGRADE KIT REQUIRED TO PROCURE?

yes,
you can load an EMI image on a 3550 that currently has SMI.
you would download the software from CCO (cisco.com)
it is legal, if you to purchase the EMI license. (and vice versa although EMI provides more functionality than SMI)
goto http://cisco.com/go/license or call 800.553.2447 and ask for licensing to find out what you need to do to get the new license.
no upgrade kit is required. simply use the normal procedures for uploading an IOS image on a cisco device and making it load on boot.
