Hi Saroj
Delete the current ios from flash and then install the new one ( make sure not to reload the router until the new ios is installed, otherwise you will have to install via from rommon.
you will need a tftp server to host the ios image, ( use a pc with tftp server software running on it or another 3560 switch with the image already in the flash that you require)
below are the steps to upgrade, ( please note i used a router but the proceedure is the same)
sh flash:
System flash directory:
File Length Name/status
1 34580404 c2600-adventerprisek9-mz.124-15.T13.bin
[34580468 bytes used, 15226888 available, 49807356 total]
49152K bytes of processor board System flash (Read/Write
delete flash:c2600-adventerprisek9-mz.124-15.T13.bin
Delete filename [c2600-adventerprisek9-mz.124-15.T13.bin] Y
copy flash:c2600-adventerprisek9-mz.124-15.T13.bin tftp:
Address or name of remote host []?

You can't upgrade to 12.2(58)SE or later because the IOS BIN file alone is in excess of 16mb (as stated on the 12.2(58)SE1 Release Notes). The highest IOS you can go for your particular switch is 12.2(55)SE and later.
Cisco IOS Release 12.2(58)SE1 and later does not support all the Catalyst 3750 and 3560 switches. The models listed below are not supported in this release. For ongoing maintenance rebuilds for these switches, use Cisco IOS Release 12.2(55)SE and later (SE1, SE2, and so on).
