I need to upgrade 4 cisco 1721 router from IOS v12
.2 to an IOS that supports QOS...need help

Hard to tell from your description. Can you provide more infomation: What is your flash and DRAM capacity? Do you have license to upgrade from IP Base to, say, IP Services?

I have 32k bytes of config memory and 16
k of flash memory.
I also have a smartnet contract which should provide for IOS upgrade I think

I'm no sure about IP base to IP services...how would I know?

12.2 requires a minimum of 32mb DRAM and 8mb of Flash to use IP Plus IOS (c1700-sy-mz.nnn-nna.bin).
