I'd like to upgrade the OS on our W2k3 to W2K8 64-bit via virtual machine. First, is it possible to run Cisco Fabric and Device Manager under VM 2K8 64-bit? Has there been any issues reported running these tools, on VM?

Not a direct answer, but I've run them under VirtualBox for testing purposes and all has been fine.
I assume the VM farm in question doesn't get it's storage via the SAN you propose to manage with this fabric manager instance?

Yes, Cisco Fabric Manager and Nevice Managercan run on W2k3 to W2K8 64-bit VM
VMs:
VMs that run any qualified or supported operating system version can run Cisco Fabric Manager.
