I'll be upgrading Unity 4.1(1) with failover and Exchange 2003 off box to Unity 5.x for a future Exchange 2007 install.
Any thing to watch out for upgrading Unity or is it a straight forward upgrade? Will I loose any call handlers, or other settings after the upgrade?

pretty straight forward i would say, if it's on the same HW then nothing should be lost. if migrating to new HW you can refer to the DIRT information from the unity tools depot online to see what will and what won't be backed up

Should be pretty easy.

Some quick tips...make sure you run the AD schema update for Unity 5.0. Make sure you update the Unity TSP after install.
