Going to install a new Unity VMo with Exchange 2000 in an AD 2000 which already has a Exchange 2003.
What will be the correct procedure for installing this new Exchange.
forestprep is necessary or only domainprep?

Since its a VM only solution why joining it to the domain? Which benefit r u going to have doing this.
I have encountered some docs for doing this:
"To install Exchange 2000 in a forest with no earlier versions of Exchange"

i was going to say the same thing. If you use the same domain, just use the Exchange 2003 server. But if want the voicemails not to go into their existing accounts, you would need to setup new accounts for them.

Otherwise, depending on your size, just the Unity server with Exchange on it (messege store) and you are done. (new domain of course for Unity)
Migrate to UM later with another Unity server and the "Migrate Subscriber tool"
