Question on the most basic IP phone system setup

Hi, my company would like to replace the traditional PABX system with Cisco IP phone system.  We got different solutions from vendor and would like to know the components required for a most basic IP phone system.  One vendor quoted IP phones with C200 server and 2951 voice gateway, while another just quoted IP phones and 2951 voice gateway.  May I ask if C200 server is a must for the IP phone system?  Thanks a lot.

The one who mentioned the C200 is offering a CUCM flavor, the one who only offered the GW, is offering CME.
Different platforms and capabilities. Have them explain all this to you.
