Does any one know of a program (cheap) or if there is someway in IOS to do it? I need to convert SIP UDP from PBX to SIP TCP for Exchange 2007.

I think openser can do this. Just don't ask me how to install/configure ;)

IOS in IP-to-IP mode can do this.
I find hard to believe that Exchange doesn't support UDP, however.

IOS would be perfect - I've got a 3825 that traffic has to go through before it gets to the exchange anyways.
SIP TCP is one of the restrictions of Exchange 2007. You would think it wouldn't be that hard to give us a configuration option for TCP or UDP.
Any ideas what I would be looking for in IOS?

There is nothing special to configure really.
IOS accepts TCP or UDP indifferently, and generates UDP unless told otherwise.
You will nee an _ivs image and associated license anyway. That is not cheap at all.
Perhaps you better rethink the overall design.
