CiscoWorks LMS 3.2.1 Upgrade Hangs

When I try to upgrade to LMS 3.2.1 on my Server 2003 server running CS 3.3.0, CW Assistant 1.2.0, LMS Portal 1.2.0, and RME 4.3.1 it hangs on "Looking for locked files." Anyone experienced this before or know what casese it to hang on this step?

First, make sure you are complying with the below guidelines:

Then, try these steps:
1. In Windows, go to Start and click on 'Run...'. Type in services.msc and set the following CiscoWorks Services to Startup Manual:
-CiscoWorks Daemon Manager
-CSCS rsh/rcp service
-CSCS syslog service
-CSCS tftp service
2. Reboot the server.
3. Try your install again.
4. When the installation is complete, restore the startup of the following services to Automatic:
-CiscoWorks Daemon Manager.
-CSCS rsh/rcp service
-CSCS syslog service
-CSCS tftp service
