Need to set up a tftp server to upgrade cisco ios on a 3560 XL Switch and a PIX 520. And where could I get a free copy of an TFTP Server????

There are several implementations of tftp server that would work for you. I have tried one that I found at SolarWinds and thought it was good. I have used one available from 3Com which is quite good. I have heard good things about this one also Try TFTPd32

If you run any Linux or Solaris or *NIX boxes, they all come with free implementations (GNU) of TFTP. Check out /etc/inetd.conf
