For both Call Manager and Unity, what underlying software do I need?
1. Do I need a copy of win2k/NT4?
2. Do I need a copy of Exchange for Unity?

For CallManager:
No, Win2k gets installed automagically when you use the automated software deployment CDs that come with your order.
For Unity:
It comes with Exchange, it should come with Win2k if you select the MCS-7835 as the server, or WinNT4 if you select a Dell as the server.

CM 3.x is a turnkey solution that utilizes the WIN2K OS. Cisco provides OS images on CD for the specific platforms. (ie; 7835,etc) You will need a monitor and if memory serves me right, a keyboard for the high end (compaq) MCS7835 unit. The Unity product I installed was a demo version, so I had to provide the NT OS, and tie into an existing Exchange PO.
I believe Cisco is also selling Unity product as a turnkey solution.
