we use 2 version of CW2k, one running on NT the other on Solaris.

Now we want to replace the NT machine with another Sun.

Do we have to buy a license for this new Sun, or can we use the existing Solaris-license on a second Sun?

2nd question: how can we migrate the existing NT-CW2k-Database to a Solaris?

For your licensing question, see the section 'Statement of Use' at:

As for migrating the data, you can do a Backup data now and then restore it on the other system, provided both versions of CW2K running are the same.
