Hi Team,
I have cisco CISCO3945-CHASSIS running with "c3900-universalk9-mz.SPA.154-3.M3.bin" ios where I can observe the high cpu utilization.

I have already pasted the same out put before. Please check my previous communication.

That output only covers only part of only, that not count full 95%, we can not assume what is other processes consuming rest of the CPU.

What do you consider high, as Cisco recommends the 3945 for up to 150 Mbps (duplex)?

As most of your CPU usage is interrupt CPU, and assuming your interfaces are running at gig, likely you're bumping into the performance limits of the router.
