I have kinda the same problem. At night when there isn't that much traffic in the network, the router's processor load is around 58% and when there is starting to be some traffic, the load rises up to 90%+. Occasionally when there's a bit too much traffic, the load goes up to 100% and the router stops answering for a while.
After wondering this for a while I came to conclusion that there is simply too much traffic for the router to handle. Sh processes cpu does show that the load is 90%+ but the processes use only about 20-30% altogether. Sorting the ACL's out helped a bit but seems like I need to change the routes to a routing switch lower the router load... The router is C3640, updating IOS didn't help at all.
