First, difference between update and upgrade. Update means same feature but newer version,. i.e. IP SERVICES 12.2.3 to IP SERVICES 12.2.40 - this update can be done if you have hardware/software maintenance, no extra charge. Upgrade means upgrading to new feature, i.e. from IP SERVICES to ADV IP SERVICES - this will cost you.
Second, you need to know the following (can be taken by "show version" command);
1. Exact model of your switch
2. RAM and FLASH size of your switch
3. Current IOS Feature
Third, contact your vendor to provide you the latest IOS image for your switch. Including the MD5 so that you can check the image if its in good condition
Fourth, either your vendor will perform the update for you or you can do it yourself.
1. You need a PC with Terminal (i.e. Tera Term Pro) and TFTP (i.e. 3COMDaemon)
2. A roll-over cable for Terminal and a straight cable for file transfer

Save and backup the current configuration before performing the upgrade.
