C40 License

I am currently license for TC4.2 which I believe is going EOL next year.  I want to upgrade to 5.3, I would go to 6 but my hardware does not support it. So do i need to get new license from cisco?

I'm not sure why you think that your C40 will not support version 6?

Generally, you will need to have a service contract with Cisco for your device to access updates.

You may be interested in this Cisco Security Advisory which may get you a free upgrade to TC6.1.
