hi, i have an inquiry about the following case:

O- a customer have  a CUCM v.11.5 out of support ,also he will get a  new CUCM v.14

O- so we will let him get the flex plan licenses only ( not a CUCM server)

O- is it must to offer the vmware licenses (Vsphere & Vcenter licenses) , or he may use the preloaded hypervisor licenses on the old CUCM to use it with the new flex licenses ?

You must run a version of ESXi supported by version 14 of CUCM. How you license it - from Cisco or directly from VMware - isn’t important but you’ll need a support contract on the VMware software to get a license file for newer versions; this is not included in the Flex subscription.
