migrating Unity 2.46 to 4.04

Hello,

I have a customer that has 2.46 (no longer suported)

VM only,exchange 5.5 on box.

They want to have Unity 4.04 installed with failover. Can I use the Full Database export/import utility to export then import the DB to the new 4.04 boxes. If so, How would that process work since Exchange will now be off box on a third server. Could I do an import to Unity and an exmerge of the exchange message store.
