I have a Unity box running 3.15 VM only pointing to an exchange 2000 server. I want to upgrade unity to a 4.04 VM only server on a new box and point it to a new 2003 exchange server. Can I use exmerge to migrate the Vm messages on the exchange 2000 serverto the exchange 2003 server.

Yes, exMerge will work across Exchange versions (even back to Ex55).
You can consider using DiRt to migrate the users over to your new network setup and include messages - however you'll have to back up the 3.1(5) system and restore it to a new 3.1(5) install and upgrade or first upgrade to 4.x and then migrate over - DiRT can only migrate across configurations/systems with the same version of Unity installed.

Thanks Jeff, The customer wants NT 2003 on the unity box, which I won't be able to load if I install 3.15 then do my upgrade.

That's true... you could upgrade the exiting box to 4.0(4) first, then DiRt then migrate.
Or you can build things from scratch, too and just save messages with ExMerge - whatever works.
