Looks like 3.x and 2.x are parallel version. I checked out release notes of both. I don't see much different except 3.x supports UCS mini and HTML 5 user interface.
I searched internet of comparison of the two versions but not much except this blog.
Does anybody know what's the reason Cisco releases two version? What's the reason to upgrade to 3.x?

There are a fair amount of new features in 3.x, as well as new hardware support, fixes for caveats. Please see http://www.cisco.com/c/en/us/td/docs/unified_computing/ucs/release/notes/CiscoUCSManager-RN-3-1.html#id_10220
In a future 3.x release, I suspect we will see HTML based KVM, which alone, would be worth upgrading for.....
