Dear all:
Do I need to reinstall VEM module or reconfig it, after replace ESX host NIC???

Hi James,
You should not be required to reinstall the VEM module if you are going to replace the NIC.
But as a recomendation, remove the interfaces from the N1K DVS and add them back again after you bring the host back online post the NIC change.

Just to add to what Abhinav suggested, the only time you might need to reconfigure your VEM uplinks is if the vmnic# changes. The system will look assign vmnicX to the DVS for a particular uplink. If you remove the NIC and re-add it, and now vmnicY corresponds to your phsycial DVS connection, you'll have issue.
Best bet is as Abi suggests. Remove the uplinks from the DVS (no need to remove the host from the DVS completely), then swap or replace the NIC. You'll want to evacuate all your VMs from this host before hand of course
