I have an IP phone which gets power while starting it show upgrading after that give error

What firmware version is it running currently? Perhaps it's 8.3.3 or below in which case you need intermediate firmware.

All phones Registered with CUCM 9.1 with firmware SCCP42.9-3-1SR1-1S .

do you have a tftp dhcp option with ip adress of cucm ?
1) check dhcp option
2) CM Services - Cisco Tftp - Status: Running ?
2) open tftp port (firewall problem)?
additionally:
3) download from cisco.com and install firmware to this model on cucm tftp server and restart tftp

Everything is fine I have 250 same 7942 model phones all registered the problem occurred with one device

all phone are placed in one voice vlan ?
cdp enable ? lan cable connect to port for net (if it place to pc port - phone receives the address of the data lan) ?
for addition you may install tftp32 (with tftp option) on pc, change tftp option with ip adress of youre pc on dhcp scope (for few minutes), download firmware for youre cisco phone in zip file (and place on tftp folder) and view logs
if there is a network for test - experiments is best done there

So, you mention the firmware version of all registered phones, since this one does not register what version does it have?
Have you tried factory reset on the phone?
