I am receiving that message in my router... I have searched into the forum but still not really convinced about the reason... my thoughts now point to memory problem... What do you guys think about it ?

Definitely open a TAC case. This is probably a memory corruption problem.

If you've already searched the forum and still not convinced with people's resolution, it would be then wise to raise your issue with Cisco TAC.

go to int serial and do:
no ip virtual-reassembly
That worked for me.,..

I am glad that you have resolved this. But in case of such error messages you can always check this with TAC to understand if there is a software issue involved. As Donald mentioned, this is a case of memory corruption in the chunk memory header. Good job in finding the solution
