I'm sure you've probably answered this for yourself but I had the same question. All I can see is a hardware difference in that the FX has 3 banks of 16 ports & the FX3 4 banks of 12 ports. There also seems to be some slight differences in some  max values. Anyone from Cisco care to elaborate?
