Hi,
I have two 7941's that are stuck in upgrading mode and even after a factory reset they will not do anything else apart from stick in upgrading
how do i fix this ?

Another likely cause is that you're trying to upgrade from a release older than 8.3(3) to a release newer than 8.5(2). If you perform a factory reset on a phone and the default firmware on CUCM is higher than 8.5(2) it will fail with "Auth Fail" on the phone.
You need to upgrade to a release between 8.3(3) and 8.5(2) first, and then upgrade to your final release.

Have you done the full factory reset as detailed here?

What system are you using to provide the phones with a new firmware after the reset? CUCM? CME? Etc?

Do you have a DHCP configured for the phones and the TFTP server with their FW files for this??

Check debug of tftp which file it is asking for, If its not in the directory make it available, the one it is asking for.
