Hi,
Insert the USB drive into your equipment, connect your equipment and enter your login and password.
“copy flash:/Name-of-your-current-IOS usbflashX:” to make a backup copy of your current IOS.
“copy usbflashX:/Name-of-the-new-IOS flash:” to upgrade to the last IOS.
“yes” when asked if you want to overwrite the current IOS. or
“boot system flash:/Name-of-the-new-IOS”
“reload” to switch from the old IOS to the new one.

Can any one tell me the procedure to upgrade the Router IOS from USB pen drive..
Can you clarify what you are trying to achieve?
1. Are you trying to copy the IOS from the USB to the router?
2. Are you trying to boot from the USB?
For #1, not all USB sticks are fully supported. The USB stick(s) need to be formated to FAT16.
For #2, depending on your router. ISR G1 (except of the 870) need to upgrade the bootstrap to 12.4(13r)Tx before you can boot via USB. ISR G2's fully support boot from USB.

Step1:
switch: boot usbflash0:c3750e-universalk9-mz.150-2.SE1.bin
Loading "usbflash0:c3750e-universalk9-mz.150-2.SE1.bin"...@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@@
Step2:
After that please check whether IOS file is there in flash: or not
Switch#dir
Directory of flash:/
5 -rwx 2835 Mar 30 2011 01:29:37 +00:00 config.text
2 -rwx 1916 Mar 30 2011 01:29:37 +00:00 private-config.text
3 -rwx 3096 Mar 30 2011 01:29:37 +00:00 multiple-fs
if IOS not there follow step3.
If IOS is there follow Step4
Step3:
If IOS is not there , we have to copy IOS from USB to flash.
Switch#copy usbflash0: flash:
Source filename []? c3750e-universalk9-mz.150-2.SE1.bin
Destination filename [c3750e-universalk9-mz.150-2.SE1.bin]?
Copy in progress...CCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCCC

Switch#dir
Directory of flash:/
5 -rwx 2835 Mar 30 2011 01:29:37 +00:00 config.text
2 -rwx 1916 Mar 30 2011 01:29:37 +00:00 private-config.text
3 -rwx 3096 Mar 30 2011 01:29:37 +00:00 multiple-fs
4 -rwx 20354176 Mar 30 2011 01:33:36 +00:00 c3750e-universalk9-mz.150-2.SE1.bin
Step4:
Then set the Boot variable
Switch(config)#boot system flash:c3750e-universalk9-mz.150-2.SE1.bin
Switch#reload
Proceed with reload? [confirm]y
